Terms of Service

Welcome to SazM. These Terms of Service ("Terms") govern your access to and use of our website and services, including website reliability, performance optimization, maintenance, and related technical services.

By accessing or using our services, you agree to be bound by these Terms.

If you do not agree, you must not use our services.


1. Eligibility & Acceptance

You represent that:

  • You are at least 18 years old.
  • You have the legal authority to enter into binding agreements.
  • You will comply with all applicable laws and regulations.

Use of our services constitutes acceptance of these Terms.


2. Scope of Services

Services are defined by:

  • Written proposals
  • Approved quotes
  • Support tickets
  • Signed agreements
  • Project documentation

Only written scope confirmations are binding.

Verbal discussions do not modify contractual obligations.


3. Payments & Fees

  • Fees are due as specified in invoices or written agreements.
  • Late payments may result in service suspension.
  • Taxes, transaction fees, and third-party costs are the client’s responsibility unless otherwise agreed.
  • Deposits and milestone payments are governed by our Refund Policy.

Failure to make timely payment may result in termination.


4. Intellectual Property

Unless otherwise agreed in writing:

  • SazM retains ownership of proprietary frameworks, internal tools, templates, and pre-existing materials.
  • Upon full payment, clients receive a license or ownership rights to agreed deliverables.
  • Ownership does not transfer until full payment is received.

Clients may not resell, redistribute, or reuse proprietary assets beyond agreed scope.


5. Client Responsibilities

Clients agree to:

  • Provide accurate and timely information.
  • Supply necessary content, access credentials, and approvals.
  • Respond promptly to project communications.

Delays caused by client inaction may impact timelines and incur additional costs.


6. Prohibited Use

You may not:

  • Attempt unauthorized system access.
  • Interfere with infrastructure or services.
  • Use services for unlawful purposes.
  • Transmit malicious code or harmful content.

Violation may result in immediate termination.


7. Warranties & Disclaimers

Services are provided on an “as-is” and “as-available” basis.

To the fullest extent permitted by law:

  • We disclaim all implied warranties, including merchantability and fitness for a particular purpose.
  • We do not guarantee uninterrupted or error-free service.
  • Third-party integrations are not guaranteed.

8. Limitation of Liability

To the maximum extent permitted by law:

SazM shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, or data
  • Business interruption

Total aggregate liability shall not exceed the total fees paid by the client in the preceding three (3) months prior to the claim.

Nothing excludes liability where prohibited by law.


9. Indemnification

Clients agree to indemnify and hold SazM harmless from claims arising from:

  • Client-provided content
  • Intellectual property violations
  • Misuse of services
  • Breach of these Terms

10. Termination

SazM may suspend or terminate services if:

  • Terms are violated
  • Payments are overdue
  • Continued service poses security or legal risk

Upon termination:

  • Outstanding balances remain due
  • Licenses granted may be revoked for non-payment

11. Force Majeure

SazM is not liable for delays or failure due to events beyond reasonable control, including:

  • Natural disasters
  • Government actions
  • Cyberattacks
  • Infrastructure failures

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of India.

Parties agree to attempt good-faith resolution prior to formal proceedings.

If unresolved, disputes may be subject to arbitration in accordance with applicable Indian arbitration laws.


13. Modifications

SazM reserves the right to update these Terms at any time.

Continued use of services after updates constitutes acceptance of revised Terms.
